BUSINESS FORMATION OR PURCHASE
We can advise you and help you form a new business or acquire an existing business. We explain what form of business is best for you,
1. “a sole proprietorship” (one-person business)
2. “partnership” is a relationship of two or more individuals or businesses that work together for a profit.
3. “corporation” is a separate entity owned by its stockholders that exists under state law.
4. “limited liability company” ” an entity owned by its members that exists under state law
BUSINESS CONTRACTS
Once you are in business, we help you negotiate win-win contracts. A win-win contract benefits all parties and makes for a smooth, lasting relationship with important vendors and customers
Some contracts are easy, like “I will pay you $1,500 in return for that laptop.” However other contracts, like leases or software licensing agreements, are more complicated. They have language that you and the other parties must work out. Our role is to help you negotiate these contracts. We pride ourselves on being able to work out win-win contracts, in which both parties come out ahead.
Do not use form agreements and do not sign agreements that you do not understand. Your contracts are affected by state laws of which you are unaware. You will end up with obligations you do not want and provisions that do not work. As former professors of business law and General Counsel of an international software company, we can
manage most contracts, and we can refer you to specialists like intellectual property and human resources. Contracts can be designed to minimize tax consequences and we have the expertise to give you this guidance.

LITIGATION
If you are currently in litigation, we're here to help. When negotiations break down and end up in litigation or arbitration, it is a largely wasteful process and the parties waste $1,000’s of dollars and more. We design contracts that are clear and designed so that they do not break down.
